This End User License Agreement (the "Agreement") is a legal agreement between you ("you" or the "User") and Nova Headend ("Nova Headend", "we", or "us") for the Nova Core software, including its binaries, web interface, and accompanying documentation (the "Software"). By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
Nova Headend grants you a free, non-exclusive, non-transferable, revocable license to install and use the Software for your own personal or internal business purposes, on any number of machines you control, subject to the terms below.
The Software is licensed, not sold. Nova Headend retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement grants you no rights to the source code. The Software is proprietary and closed-source.
You may not, and may not permit others to:
The Software is a general-purpose tool for receiving, processing, and re-streaming digital television signals. You are solely responsible for the signals, channels, and content you choose to receive, decode, process, record, or distribute using the Software. You represent and warrant that:
Nova Headend does not provide, host, or endorse any television content, decryption keys, or subscriptions, and has no control over and assumes no responsibility for how you use the Software.
Certain features (collectively, "Nova Enterprise") are distributed separately under their own commercial license terms and are not covered by this Agreement. Conditional-access features are intended for use only with conditional-access modules, smartcards, or keys that you are lawfully entitled to use.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOVA HEADEND DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOVA HEADEND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE SOFTWARE IS PROVIDED FREE OF CHARGE, AND NOVA HEADEND'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED ZERO.
You agree to indemnify and hold harmless Nova Headend from and against any claims, damages, liabilities, and expenses arising out of your use of the Software or your breach of this Agreement, including any claim relating to content or signals you process with the Software.
This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 2, 4, 6, 7, and 8 survive termination.
Nova Headend may update this Agreement from time to time. Continued use of the Software after an updated version is posted constitutes acceptance of the revised terms.
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law provisions. Nothing in this Agreement limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
